Wholesale Terms and Conditions
This is an English translation of our French wholesale terms (Conditions Générales de Vente PRO). In case of any difference between the two versions, the French version prevails.
Article 1. Scope
These wholesale terms and conditions apply to all sales concluded between Mylène THOMAS ZANINO EI, trading as Joli Pot (4 impasse de Carlet, 31600 Eaunes, France, SIRET 829 635 093 00067, RCS Toulouse 829 635 093, VAT FR42829635093) ("we" in these terms) and a business customer: reseller shop, company, association or public body.
They apply whatever the direct ordering channel: online wholesale order form, corporate gifts page, quote, email, phone, Instagram or any other message. An order placed by message is confirmed once we have accepted it in writing. Orders placed through Faire, Ankorstore or MOM remain governed by those platforms' terms.
They form the basis of the business relationship (article L441-1 of the French Commercial Code) and prevail over the customer's purchasing terms, unless otherwise agreed in writing. Placing an order means accepting these terms.
Article 2. Orders
Resellers. The minimum order is €100 excluding VAT. Products are sold by the unit. Access to the online order form is through a personal code that we send you.
Companies. For each design carrying a logo or sold with a plantable card, the minimum is 10 identical pieces. Above 150 pieces of the same design, orders are made on quote. A €25 excluding VAT logo and proof fee applies per order with a logo on the pots. The proof must be approved in writing before production starts: the customer is responsible for the texts, logos and files supplied, and warrants that they hold the rights needed to reproduce them.
Quotes. A quote is valid for 30 days. It becomes a firm order once we receive its acceptance and, where applicable, the deposit.
Changes and cancellation. An order can be changed or cancelled within 24 hours of its confirmation, as long as production has not started. After that, as the products are personalized, the order is final: unsold items are neither taken back nor exchanged. The right of withdrawal does not apply between businesses.
Article 3. Prices
Prices are in euros excluding taxes, plus VAT at the applicable rate where due. The prices that apply are those of the order form, the corporate page or the quote on the day of the order. Recommended retail prices (RRP) given to resellers are indicative only: each reseller sets their own prices freely.
Article 4. Payment
- Resellers in France, first order: payment with the order, by card, Apple Pay, Google Pay, PayPal or bank transfer. Production starts once payment is received.
- Resellers in France, from the second order: payment within 30 days of the invoice date, by bank transfer.
- Resellers outside France: payment for every order, before production, by payment link (card) or bank transfer, on the invoice or quote we send you. Production starts once payment is received.
- Companies: payment with the order by card, or by bank transfer on quote with a 30% deposit with the order and the balance on shipping.
Payments are made in euros. Bank, international transfer and currency exchange charges are paid by the customer: the amount we receive must match the invoice amount.
No discount is granted for early payment.
Any late payment automatically incurs, without prior reminder, penalties at three times the French legal interest rate, plus a fixed €40 recovery fee (articles L441-10 and D441-5 of the French Commercial Code). We may suspend orders in progress until full payment.
Products remain the property of Joli Pot until the price has been paid in full. Risk passes to the customer when the goods are handed to the first carrier (see also article 6 for sales outside France).
Article 5. Shipping and lead times
We ship from France, with La Poste Colissimo, Mondial Relay or another carrier if needed, within France (including Corsica), to the European Union, Switzerland, the United Kingdom and, on request, other countries outside the European Union.
- Reseller shipping, France: free from €300 excluding VAT; otherwise €10 excluding VAT up to 10 kg and €20 excluding VAT above.
- Reseller shipping, European Union: €20 excluding VAT per order.
- Reseller shipping, Switzerland: €20 excluding VAT up to 10 kg, €40 excluding VAT above, no free-shipping threshold. Import duties and taxes are paid by the recipient.
- United Kingdom and other countries outside the EU: direct orders only (online request, email or message). Shipping costs are shown on the invoice or quote. Import duties, taxes and customs fees are paid by the recipient. The parcel can also be collected from our studio by the customer's own carrier or freight forwarder.
- Companies: free shipping from €500 excluding VAT; otherwise costs shown with the order or quote. Shipping to several addresses is possible on request.
- Reseller lead times: 4 to 6 business days to make your pots, then 1 to 2 days in transit within France. Outside France, transit time depends on the destination and carrier.
- Company lead times: about 10 business days of production after proof approval; a rush order is possible for a rush fee (€30 minimum), subject to availability.
- Holiday ordering deadlines are announced on the website and in the order form. For Christmas, order by December 13.
Lead times are indicative: a reasonable delay cannot lead to cancellation or penalties, unless a firm date has been agreed in writing.
Article 6. Sales outside France
VAT, European Union. A supply to a VAT-registered customer established in another EU country is exempt from French VAT (article 262 ter I of the French Tax Code), provided that the customer gives us, before invoicing, a valid EU VAT number, which we check on the European Commission's VIES system, and that the goods are shipped out of France. The invoice states "Exonération de TVA, article 262 ter I du CGI" (VAT exemption) and the customer accounts for VAT in their own country (reverse charge). Without a valid number, French VAT applies at the current rate.
VAT, outside the European Union. Sales shipped outside the European Union are exempt from French VAT (article 262 I of the French Tax Code); the invoice states "Exonération de TVA, article 262 I du CGI" (export VAT exemption). Customs duties, import VAT or local taxes and customs clearance fees are paid by the recipient.
United Kingdom. For a consignment worth £135 or less, the customer gives us their UK VAT number before shipping and accounts for UK VAT under the reverse charge. Without this number, we only ship consignments worth more than £135, with UK import VAT then paid by the recipient.
Incoterms 2020. Unless otherwise agreed in writing:
- when we arrange transport, the sale is made CPT (carriage paid to) the customer's delivery address: we pay the invoiced carriage and handle export formalities, the customer handles import, and risk passes to the customer when the goods are handed to the first carrier;
- when the customer has the parcel collected by their own carrier or freight forwarder, the sale is made FCA (free carrier) Joli Pot studio, 4 impasse de Carlet, 31600 Eaunes, France: risk passes to the customer when the parcel is handed to their carrier.
Customs. For each shipment outside the European Union, we prepare a commercial invoice and the carrier's customs declaration (for example CN23), with the description, value and customs code of the products. The customer gives us the information needed to import into their country (EORI or importer number, VAT number, contact). No preferential origin is declared unless agreed in writing. A parcel that is held, refused or not cleared through customs remains the customer's responsibility: return and reshipping costs are invoiced to them, and the products, being personalized, are not refunded.
Local rules. The customer, as importer or distributor, checks that the products may be sold in their country and complies with the local rules that apply to them (labeling, language, standards, eco-fees or packaging registration), to the extent permitted by the law of that country. On request, we provide the useful information: composition, candle safety instructions, manufacturer details. Within the European Union, if this information must appear in a language other than French or English, the reseller tells us before ordering.
Article 7. Breakage and non-conformity
Any breakage or error must be reported within 48 hours of delivery, with photos of the parcel and the products and the order number.
- Pot broken on delivery: replaced free of charge, remade and added to your next order or sent separately if you need it quickly. If the design is no longer available, a credit note for the corresponding amount is issued. This commercial gesture applies to shipments we arrange; for a parcel collected by the customer's carrier, transit breakage must be claimed from that carrier.
- Our mistake (message, size or design): the pot is remade and sent free of charge; you can keep the incorrect pot.
- A mistake in the selection made by the customer on the order form, or approved on the proof, gives no right to return or refund.
Handmade work means slight variations in color, lettering and size, which do not count as non-conformity.
Article 8. Resale, images and intellectual property
Resellers may use the photos and texts we provide to present the products in store and on their social media, mentioning the Joli Pot brand. Joli Pot is a registered trademark. The designs, messages, illustrations and the brand remain the property of Joli Pot: any copying or making of similar products is prohibited.
Subject to their prior agreement, which we ask for first, a business customer may be named as a client reference (name, logo) on the Joli Pot website and social media.
Article 9. Liability
Our liability is limited to the amount of the order concerned and does not cover indirect damage (loss of revenue, image or customers). We are not liable for delays or failures due to force majeure (article 1218 of the French Civil Code).
Article 10. Personal data
Business contacts' data is processed in line with our Privacy policy, to manage orders, the business relationship and B2B prospecting.
Article 11. Governing law, language and disputes
These terms are governed by French law, excluding the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention of April 11, 1980).
They are written in French. This English translation is provided for convenience; in case of any difference, the French version prevails.
In the event of a dispute, the parties will first seek an amicable solution. Failing that, the Commercial Court of Toulouse (France) has sole jurisdiction, including where there are several defendants.
